Terms of Service

1 Acceptance of Terms

By accessing or using MedShra ("the Platform", "we", "us", or "our"), you ("User", "you") agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use MedShra.

These Terms apply to all users of the platform, including retailers (pharmacy owners), suppliers (distributors/wholesalers), and combo users.

2 Description of Services

MedShra provides a comprehensive pharmacy management platform that includes:

• AI-powered inventory management and expiry prediction
• Voice-to-bill generation in Hindi and English
• GST report generation and compliance tools
• WhatsApp CRM and customer communication tools
• Supplier portal and purchase order management
• Multi-branch management for pharmacy chains
• Credit ledger and payment tracking
• AI analytics and business intelligence

We reserve the right to modify, suspend, or discontinue any feature of the service at any time with reasonable notice to users.

3 User Accounts & Registration

3.1 Account Creation

To use MedShra, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Eligibility

You must be at least 18 years of age and a legally registered business entity (or authorised representative thereof) to use MedShra. By registering, you confirm that you have all necessary licenses and permits to operate a pharmacy or pharmaceutical distribution business.

3.3 Account Security

You are responsible for all activities that occur under your account. Notify us immediately at support@medshra.com if you suspect any unauthorised access to your account.

4 Subscription & Billing

4.1 Free Trial

MedShra offers a 23-day free trial for new users. No credit card is required during the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the platform.

4.2 Paid Plans

Subscription fees are billed annually. All prices are in Indian Rupees (INR) and are inclusive of applicable GST. Payment is processed securely via Razorpay.

4.3 Refund Policy

MedShra offers a 14-day money-back guarantee from the date of first payment. Refund requests must be submitted to billing@medshra.com within 14 days. Refunds will be processed within 7-10 business days.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period. You may cancel auto-renewal at any time from your account settings. Cancellation takes effect at the end of the current billing period.

5 Acceptable Use Policy

You agree NOT to use MedShra to:

• Violate any applicable laws, regulations, or Drug Control Authority guidelines
• Create bills for unlicensed or controlled substances without proper authorisation
• Upload false, misleading, or fraudulent data
• Attempt to gain unauthorised access to other users' accounts or data
• Use the platform for money laundering or any financial fraud
• Reverse engineer, decompile, or disassemble any part of the platform
• Resell or sublicense the platform without written permission
• Upload malware, viruses, or any harmful code

Violation of this policy may result in immediate account suspension or termination without refund.

6 Data & Privacy

Your use of MedShra is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.1 Your Data

All business data you enter into MedShra (inventory, customer records, bills, etc.) remains your property. You grant MedShra a limited license to process this data solely to provide the services.

6.2 Data Security

MedShra implements industry-standard security measures including data encryption, regular backups, and access controls. However, no method of transmission over the internet is 100% secure.

6.3 Data Export

You may export your data at any time from the platform. Upon account termination, your data will be retained for 90 days before permanent deletion.

7 Intellectual Property

The MedShra platform, including its software, design, algorithms, AI models, trademarks, and content, is the exclusive property of MedShra Technologies Pvt. Ltd. and is protected by Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes only. This license does not include the right to copy, modify, distribute, or create derivative works.

8 Limitation of Liability

To the maximum extent permitted by law, MedShra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or business information
• Business interruption
• Regulatory penalties arising from incorrect GST filings

MedShra does not warrant that the platform will be error-free, uninterrupted, or free from viruses. We target 99.5% uptime but do not guarantee it.

9 Termination

Either party may terminate this agreement at any time:

• By you: Cancel your subscription from account settings at any time. Access continues until end of billing period.
• By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees.

Upon termination, your right to access MedShra ceases immediately. We will provide a data export option for 90 days post-termination.

10 Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bhagalpur, Bihar, India.

We encourage resolution of disputes through good-faith negotiation before pursuing legal action. For disputes under ₹10 lakhs, we agree to participate in online mediation.
