1 Acceptance of Terms

By accessing or using MedShra ("the Platform"), you agree to comply with and be bound by these Terms of Service. If you do not agree, please do not use MedShra.

These Terms apply to all users — retailers (pharmacy owners), suppliers (distributors/wholesalers), and combo users.

2 Description of Services

MedShra provides a comprehensive pharmacy management platform including:

• Inventory management and expiry tracking
• Voice-to-bill generation in Hindi and English
• GST report generation and compliance tools
• WhatsApp CRM and customer communication
• Supplier portal and purchase order management
• Credit ledger and payment tracking

We reserve the right to modify, suspend, or discontinue any feature with reasonable notice to users.

3 User Accounts & Registration

3.1 Account Creation

You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Eligibility

You must be at least 18 years of age and a legally registered business entity to use MedShra. By registering, you confirm you have all necessary licenses to operate a pharmacy or pharmaceutical distribution business.

3.3 Account Security

You are responsible for all activities under your account. Notify us immediately at support@medshra.com if you suspect unauthorised access.

4 Subscription & Billing

4.1 Free Trial

MedShra offers a 23-day free trial for new users. No credit card is required. At the end of the trial, you must subscribe to a paid plan to continue.

4.2 Paid Plans

Subscription fees are billed annually in Indian Rupees (INR), inclusive of applicable GST. Payment is processed securely via Razorpay.

4.3 Refund Policy

MedShra offers a 14-day money-back guarantee from the date of first payment. Submit requests to billing@medshra.com within 14 days. Refunds are processed within 7–10 business days.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period. You may cancel at any time from account settings. Cancellation takes effect at the end of the current period.

5 Acceptable Use Policy

You agree NOT to use MedShra to:

• Violate any applicable laws or Drug Control Authority guidelines
• Create bills for unlicensed or controlled substances without proper authorisation
• Upload false, misleading, or fraudulent data
• Attempt to gain unauthorised access to other users' accounts or data
• Use the platform for money laundering or any financial fraud
• Reverse engineer or decompile any part of the platform
• Resell or sublicense the platform without written permission
• Upload malware, viruses, or any harmful code

Violation of this policy may result in immediate account suspension or termination without refund.

6 Data & Privacy

Your use of MedShra is also governed by our Privacy Policy, incorporated into these Terms by reference.

6.1 Your Data

All business data you enter into MedShra remains your property. You grant MedShra a limited license to process this data solely to provide the services.

6.2 Data Security

MedShra implements industry-standard security including data encryption, regular backups, and access controls.

6.3 Data Export

You may export your data at any time. Upon account termination, data is retained for 90 days before permanent deletion.

7 Intellectual Property

The MedShra platform — including software, design, algorithms, and content — is the exclusive property of MedShra Technologies and is protected by Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes only.

8 Limitation of Liability

To the maximum extent permitted by law, MedShra shall not be liable for any indirect, incidental, or consequential damages including:

• Loss of profits or revenue
• Loss of data or business information
• Business interruption
• Regulatory penalties arising from incorrect GST filings

MedShra targets 99.5% uptime but does not guarantee uninterrupted service.

9 Termination

• By you: Cancel from account settings at any time. Access continues until end of billing period.
• By us: We may suspend or terminate your account immediately for violations, fraudulent activity, or non-payment.

Upon termination, your right to access MedShra ceases immediately. A data export option is available for 90 days post-termination.

10 Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bhagalpur, Bihar, India.

We encourage resolution through good-faith negotiation before pursuing legal action.
